its not really complicated to register a company in Kenya, its just that it takes a little more time than necessary. you first have to do a name search for your company, they say its supposed to take a week, it took me three weeks, then after the name search has been approved, you have to pay a fee to reserve that name i.e. name registration. After that you start the company registration which involves the memorandum and articles draw-up and all that, this takes about 6-8 weeks. That is the hard part.

From there is pretty easy - you need to get a Personal Identification Number (PIN) for your company from the Kenya Revenue Authority (this can be done online)then you are good to go.

Once you get a business premises, you have to register that with the City Council of Nairobi in order to get a license- when you start hiring employees you need to register for the National Health Insurance Fund (NHIF) and the National Social Security Fund (NSSF)where you have be remitting some fee for your employees.

But not to forget, if you are a foreigner, you will also need a class H workpermit after you registered your company.
And if you want to register in the field of agriculture or telecommunication you need to have a kenyan shareholder as well ...
